Miami Firm Takes Charge in $875 Million Marine Merger

Colleen Grady served as lead U.S. counsel to Dometic AB in its $875 million acquisition of SeaStar Solutions from affiliates of New York-based private equity firm American Securities LLC.

Limerick, Pennsylvania-based SeaStar Solutions is a leading provider of ship control and fuel systems and aftermarket products for the leisure marine industry. SeaStar is the market leader in key product areas with brands including SeaStar, Xtreme, Moeller, Optimus and Sierra.

SeaStar is entrenched in the outboard boat marketing, which has been growing at about 8 percent annually since 2010.

Headquartered in Solna, Sweden, Dometic is a global market leader in its field, sells products in about 100 countries and has about 6,500 employees worldwide. Its shares are listed in the large cap segment on Nasdaq Stockholm. The merger significantly expanded its North American market.

The transaction moved quickly with an agreement announced Nov. 21, 2017, and closing before year-end.

Grady was assisted by Albert Diaz-Silveira and Lauren Hunt of the Miami firm, and she  coordinated specialized counsel that included teams led by Mark Hamilton from Danziger & Markhoff for ERISA matters, Nick Katsanos from Seward & Kissel for HSR matters and Andrew Robertson of Lawson Lundell for Canadian matters.

Arnold & Porter Kaye Scholer represented the seller.

The transaction showcased Alvarez & Diaz-Silveira’s ability to act as lead counsel on a complex multinational transaction.

Deals of this magnitude are typically handled by large full-service firms, but the successful and efficient closing of this large international transaction by Grady and her team highlight their ability to be effective in an alternative legal platform by coordinating outside specialists into a seamless team.

New Recognitions for Firm

Alvarez & Diaz-Silveira LLP proudly announces two important recognitions it has recently received.

On November 1, 2018, the Daily Business Review, a publication of The American Lawyer, announced its 14th annual Most Effective Lawyers list, recognizing the achievements of attorneys who delivered impressive performance for their clients in the past year.  Among the honorees is Colleen Grady, a leader of the firm’s corporate practice, received recognition for her work in international transactions.  Colleen is an experienced mergers and acquisitions counsel, both domestic and cross-border, who was also recognized by the publication in 2015 as one of the Top Dealmakers of the Year in Miami.

Most recently, Colleen led the firm’s work in connection with the successful $875 million acquisition by Dometic Group of SeaStar.  She continues to counsel Dometic Group and other clients in their acquisition and disposition activities.   In addition to her significant practice, Colleen is also engaged in many community-wide activities and leads the Women’s Initiative of Alvarez & Diaz-Silveira and León Cosgrove, LLP, which is a joint initiative between the two law firms that seeks to improve both diversity and meaningful inclusion of women lawyers at the firms.  The Women’s Initiative recently co-hosted, together with Ben duPont, Florida’s first Non-Obvious Dinner bringing together thought leaders from throughout South Florida and around the country.

Alvarez Arrieta & Diaz-Silveira Successfully Closes Dometic Group AB’s $875 Million Acquisition of SeaStar Solutions

Alvarez Arrieta & Diaz-Silveira LLP (AADS), a Miami-based corporate boutique law firm specializing in transactional work including international and domestic M&A, finance, real estate, and immigration services, announced that it has represented Dometic AB as lead U.S. counsel in its acquisition of SeaStar Solutions from affiliates of American Securities LLC. SeaStar Solutions is a leading provider of vessel control and fuel systems and aftermarket products to the leisure marine industry. The transaction is valued at $875 million USD and was fully financed via cash and committed bank facilities.

AADS attorneys Colleen Grady and Albert Diaz-Silveira negotiated the deal, and Lauren Hunt and Paula Buzzi led the real estate portion. The AADS team coordinated a group of specialized counsel that assisted on the matter that included Mark Hamilton from Danziger & Markhoff LLP for ERISA matters, Nick Katsanos from Seward & Kissel for HSR matters, and Andrew Robertson of Lawson Lundell for Canadian matters. Dade Legal Aid Presents Alvarez Arrieta & Diaz-Silveira with Outstanding Law Firm Pro Bono Award

Alvarez Arrieta & Diaz-Silveira LLP (AADS), a Miami-based corporate boutique law firm specializing in international and domestic M&A, finance, real estate, immigration and private wealth services, is the recipient of Dade Legal Aid’s Outstanding Law Firm Pro Bono Award.

AADS was one of ten honorees acknowledged on May 6 at the Dade County Bar Association’s Twenty-Seventh Annual Recognition Luncheon. During the luncheon, Dade Legal Aid recognized AADS for its commitment to support the non-profit law firm by helping to staff the monthly LegalLine Clinic, handling various pro bono cases for clients, and providing other support to the agency, such as donating money to the organization in lieu of client holiday gifts this past year.

“We feel extremely honored to receive the Outstanding Law Firm Pro Bono Award. We are proud to be able to contribute to our community by offering our legal services to those in need through Dade Legal Aid’s programs,” said Colleen Grady, a partner at AADS who accepted the award on the firm’s behalf.

Grady, along with Kristofer Hernandez, an associate at the firm, worked tirelessly on five pro bono cases in the past year, assisting vulnerable members of the Miami-Dade community. Grady was also involved with staffing the monthly LegalLine Clinic, a hotline for free legal advice. The LegalLine Clinic is a 1(800) call-in program that is held on the first Wednesday night of each month. This clinic gives Miami-Dade citizens an accessible forum to talk to lawyers and receive referrals for their legal concerns.
