Firm Changes Name to Alvarez & Diaz-Silveira LLP

Alvarez Arrieta & Diaz-Silveira LLP, has been renamed Alvarez & Diaz-Silveira LLP, following the departure of one of the founding partners, Alex Arrieta, to pursue new endeavors. “We wish Alex the very best as we move forward with our practice and focus as a corporate and real estate boutique firm,” said partner, Tony Alvarez, citing the firm’s celebration of its fifth anniversary and recent success in closing a $875 million acquisition for Dometic Group AB in December — a showcase of its ability to act as lead counsel on complex multinational transactions.

The Miami-based corporate boutique law firm will continue to focus on transactional work, including international and domestic M&A, finance, real estate and immigration services for leading companies, family offices, and high net worth individuals. Alvarez & Diaz-Silveira LLP combines sophisticated counsel with a level of execution, personal attention and value that is rare among practices today.

Alvarez Arrieta & Diaz-Silveira Successfully Closes Dometic Group AB’s $875 Million Acquisition of SeaStar Solutions

Alvarez Arrieta & Diaz-Silveira LLP (AADS), a Miami-based corporate boutique law firm specializing in transactional work including international and domestic M&A, finance, real estate, and immigration services, announced that it has represented Dometic AB as lead U.S. counsel in its acquisition of SeaStar Solutions from affiliates of American Securities LLC. SeaStar Solutions is a leading provider of vessel control and fuel systems and aftermarket products to the leisure marine industry. The transaction is valued at $875 million USD and was fully financed via cash and committed bank facilities.

AADS attorneys Colleen Grady and Albert Diaz-Silveira negotiated the deal, and Lauren Hunt and Paula Buzzi led the real estate portion. The AADS team coordinated a group of specialized counsel that assisted on the matter that included Mark Hamilton from Danziger & Markhoff LLP for ERISA matters, Nick Katsanos from Seward & Kissel for HSR matters, and Andrew Robertson of Lawson Lundell for Canadian matters. Arnold & Porter Kaye Scholer LLP represented the seller.

“We’re pleased to have been able to advise Dometic in executing this important business transaction which continues to advance Dometic’s mission of ‘Mobile Living Made Easy’,” said Grady. “For the firm, this deal showcased our ability to act as lead counsel on an exceptionally complex multinational transaction. Deals of this magnitude are typically handled by large full-service firms but our platform is an alternative to successfully and cost-effectively close such a transaction by working with specialists with whom we have long-standing relationships,” she added.

Headquartered in Solna, Sweden, Dometic is a global market leader in branded solutions for mobile living with product sales in approximately 100 countries. The company employs approximately 6,500 people worldwide and had net sales of SEK 12.4 billion in 2016. Its shares are listed in the Large Cap segment on Nasdaq Stockholm.

The acquisition strengthens and expands Dometic’s position as a global supplier to the marine industry through new product areas, a broader distribution network and market presence. SeaStar Solutions is the market leader in its key product areas and operates some of the strongest brands in the market, including SeaStar, Xtreme, MOELLER, Optimus and Sierra.

AADS was one of ten honorees acknowledged on May 6 at the Dade County Bar Association’s Twenty-Seventh Annual Recognition Luncheon. During the luncheon, Dade Legal Aid recognized AADS for its commitment to support the non-profit law firm by helping to staff the monthly LegalLine Clinic, handling various pro bono cases for clients, and providing other support to the agency, such as donating money to the organization in lieu of client holiday gifts this past year.

“We feel extremely honored to receive the Outstanding Law Firm Pro Bono Award. We are proud to be able to contribute to our community by offering our legal services to those in need through Dade Legal Aid’s programs,” said Colleen Grady, a partner at AADS who accepted the award on the firm’s behalf.

Grady, along with Kristofer Hernandez, an associate at the firm, worked tirelessly on five pro bono cases in the past year, assisting vulnerable members of the Miami-Dade community. Grady was also involved with staffing the monthly LegalLine Clinic, a hotline for free legal advice. This clinic gives Miami-Dade citizens an accessible forum to talk to lawyers and receive referrals for their legal concerns.

Alvarez Arrieta & Diaz-Silveira and Leon Cosgrove Law Firms Establish Women’s Initiative

May 10, 2016 – MIAMI – Dedicated to both diversity and meaningful inclusion, Alvarez Arrieta & Diaz-Silveira LLP (AADS), together with the Coral Gables-based complex business litigation firm León Cosgrove LLC, have collectively launched and are continuing to develop a Women’s Initiative.

The Women’s Initiative focuses on the career advancement of the firms’ women lawyers by creating meaningful networking opportunities, enhancing business development skills and bolstering institutional support to address the unique obstacles faced by women in the legal profession, including the gender discrimination that continues to pervade the profession as recently reported in the Florida Bar’s 2015 Young Lawyer’s Division Survey on Women in the Legal Profession.

The first two events of the Women’s Initiative were held in February and April 2016. There will be six formal events each year that will feature guest speakers, skill-building activities and discussion topics, with additional informal monthly opportunities conducive to further creating this community of women leaders.

Colleen Grady of AADS is co-leading the Women’s Initiative with León Cosgrove’s Carly Kligler. “Both firms are dedicated to enhancing the opportunities for all lawyers, opportunities that will result in real cultural and institutional changes,” Grady reported. “As members of the National Association of Minority and Women Owned Law Firms (NAMWOLF), both AADS and León Cosgrove are committed to and strongly value the concepts of inclusion and active mentoring. The Women’s Initiative was a natural extension and formalization of this commitment.” Kligler elaborates that, “Both of our firms share a dedication to the hiring, promotion and success of women lawyers. It’s very exciting to be taking this objective one step further with the kind of mentoring and community-building that is our unique responsibility, and privilege.”

The firms jointly plan to expand the Women’s Initiative after continuing to develop a strong foundation.
